Terms of Service

Definitions

For the full extent of these Terms of Service ("Terms"), when the term “Service” or “Services” is used, it is directly referring to the hosting and provision of the Graphileon platform and all related services by Graphileon BV, The Netherlands (Graphileon) through the webdomain graphileon.app. The term "Site" refers to the online environment through which the Service is offered. The term "Customer" refers to any entity or natural person that uses or accesses this Service directly or indirectly. The term "Period Of Use" refers to the period during which the Customer's account contains one or more Graphileon Cloud environments.

Acceptance

By using this Service the Customer is deemed to accept the validity of and be bound by these Terms as stated herein without modification.

Excluded Purposes

The Customer may not use the Service for any of the following Excluded Purposes:

• To store, download, make available to any third party or transmit infringing or illegal content, viruses, “Trojan horses” or other harmful code
• To engage in phishing, spamming, denial-of-service attacks or fraudulent or criminal activity
• To interfere with or disrupt the integrity or performance of the Service or data
• To perform penetration testing, vulnerability testing or other security testing on the Service
• Otherwise attempt to gain unauthorized access to the Site or the Service

In addition to the Excluded Purposes mentioned above, non-billable (a.k.a. "free" or "trial") variants of the Service may not be used for:

• The provision of a professional or commercial offering, or elements thereof, to a third party, including (but not limited to) demonstration, proofs of concept, training, regardless whether this offering generates revenues or not.

In case the Service is used for an Excluded Purpose, Graphileon may cease to provide the Service.

Payment method

The Customer is required to maintain a valid payment method for the use of the Service. If Graphileon is unable to process payment for any reason, including the absence of a valid payment method or a failed automatic charge, Graphileon reserves the right to suspend or terminate access to the Service.

Termination of the use of the Service by the Customer

The Customer can terminate the use of the Service at any moment. The Customer is not entitled to a refund of any fees that have already been paid.

Suspension, expiration or termination of the Service by Graphileon

Graphileon may suspend or terminate a Customer’s access to, and use of, the Service if the Customer

• fails to remit payments when due
• otherwise breaches these Terms, as applicable
• uses the Service in a manner that violates the law

If the Service is terminated by Graphileon due to the Customer’s breach of these Terms, the Customer is not entitled to a refund of any fees that have already been paid.

In the event of an impending termination of the Service, Graphileon will use commercially reasonable efforts to notify the Customer that its access to the Service will be terminated and that all cloud environments will be destroyed, at a time to be determined by Graphileon, without the option of recovery. Graphileon expressly disclaims all liability if the Customer does not receive or act in accordance with this notice, or if any Customer data is deleted.

Limited Warranties

Except as specified in the Terms, to the maximum extent permitted under applicable law, the Service is provided “as is” without any kind of warranty. Except as specified in the Terms, we are not responsible for any direct or indirect loss, injury, claim, liability, damage, or consequential damage related to the Customer's use of the Service, or inaccessibility of the Service whether from errors or omissions in the content of this Service or any other linked sites or for any other reason. Use of this Service is at the Customer's own risk. Graphileon BV does not represent or warrant that the Site, its servers or any linked sites are free of any harmful materials.

Maximum Liability

Except as specified in the Terms, the maximum liability of Graphileon BV is the amount paid to Graphileon BV by the Customer within the last six months of Graphileon BV offering the Service to the Customer. This is an aggregate limit and the existence of more than one claim shall not enlarge the limit. The Customer acknowledges that the foregoing limitations of liability are an essential part of this agreement and absent such limitations, Graphileon BV would not provide the Services to the Customer or enter into this agreement.

Indemnification

The Customer agrees to indemnify and hold Graphileon BV, its directors, officers and employees, harmless from any claim, demand, or damage, including legal fees, asserted by any third party due to or arising out of the Customer’s use of the Service or conduct on the Site.

Modification to Terms

Graphileon BV reserves the right to change the Terms regarding the use of the Site at any time and to notify the Customer by updating the Service.

Enforcement

If any part of the Terms or the Site’s Disclaimer cannot be enforced for any reason, this decision will not affect the validity of the remainder of these Terms of Service and Disclaimer which will continue to be in full force and effect.

Copyright

The look and feel of the Site is the intellectual property of Ipileon BV, The Netherlands. All rights reserved. It is prohibited to duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without express written permission from Ipileon BV.

Reverse Engineering

Reverse engineering elements of the functionality or design of the Service and/or the Site (and any associated properties) is not permitted.
